Wholesale - Terms of Service Agreement
Window Toppers, Inc - Terms of Service Agreement:
Date: Effective as of January 1, 2007.
All entities who take part in our wholesale program, will do so with the understanding and in agreement with all information set forth in this terms of service agreement. By taking part in our wholesale program, you are obligated to be bound to each of these rules and / or restrictions set forth herein this document.
*Please Note - Window Toppers is still in the process of developing this wholesale supply program, therefor this terms of service agreement as well as our wholesale program itself may change or be discontinued at any point.
1. Window Toppers reserves the right to update, change, or terminate our wholesale program without any prior notice.
2. Window Toppers reserves the right to deny product or service to any entity, be them private or business, for any reason.
3. Window Toppers only accepts payment directly from you or your business. We do not except payments directly from your customer.
4. All Window Toppers correspondence as part of this wholesale program will between you or your business and Window Toppers. We will have no correspondence directly with your customer.
5. Window Toppers shall not be held responsible for any grievances that should arise between you or your business and the end user (your customer).
6. Window Toppers will not except the return of any product from your business or directly from your customer. We have an exemplary track record for producing quality merchandise. We thoroughly inspect all products before they ship from our factory. We suggest that you or your business purchase a sample item for your to review to make sure that the item will meet your businesses needs before choosing to resell any item. *In the event that you or your customer receive an item with a manufacturing defect, we will replace this item free of charge. Procedure - your customer should return the item to you or your business for inspection and review. If you have determined that this is a defective item. We advise you to contact us with this information so that we can ship you a replacement along with a UPS return label for the shipment back to us for the defective item which you have received. All returns to our facility undergo an inspection process to verify the quality problem. If the item you have returned to us is not found to be defective, you or your business will be responsible for payment of the replacement's shipping charge.
7. Window Toppers is under no obligation to provide any images or product information. We will try our best to provide these items as a complimentary service when available.
8. Availability of any item can change without prior notice, and we do not guarantee the availability of any product to fulfill orders. We will notify you immediately if an item is unavailable or if an order cannot be fulfilled.
9. Product cost can change without prior notice, and it is therefor the responsibility of you or your business to check our web site or inquire with Window Toppers about product price cost changes.
Special Note for Web Sites / Internet Merchants: (all above applies as well as below)
10. You are restricted from advertising "our products" in two locations on the internet / world wide web.
These two areas are ...
"Yahoo Shopping" - Yahoo network's online product shopping area. - Click Here to view
"Google Product Search - formerly called Froogle" - Google network's online product shopping area. - Click Here to view
Reason - Outside of submission of our web site to search engines, these are the only two areas on the internet where we submit products from our web site WindowToppers.com to. It would not benefit either our business our yours to have a flooding of identical products from multiple merchants to these two online market places. A. It takes away from the uniqueness of the products. B. Our web site retail prices will be lower than any reseller of these same products. So, it is of no benefit to your business, and may result in wasted advertising fees on your behalf.
Outside of these two marketplaces on the internet, you are entitled to advertise the reselling of any of our products any where else on the internet, such as... EBAY, YAHOO Auctions, Bizrate.com, etc... there are many to choose from !
Of course you are entitled to advertise any other products you may have in these areas, you are only restricted from advertising "our products".
*Please note - that Window Toppers reserves the right to add other areas on the internet to this list of restricted advertising areas.
*Other Notes - Please be advised that the following information are merely suggestions for reseller's of our products on the internet. You, and not Window Toppers Inc are responsible for getting updates from these entities.
** Waverly ™ - If you intend on reselling any of the products which we make with Waverly ™ fabrics, please make sure that you advertise these items in a true manner "stating that these are made with Waverly ™ Fabrics", and do not intend to mislead your customer by stating these items "are Waverly Products" or that "the product is made by Waverly". Waverly ™ has very strict rules about restricting their dealers from selling their products on internet sites like Ebay.com, Yahoo, & internet other Auction Sites.
